Myan Shwe Pyi Tractors (MSP CAT) is a limited company, registered under the number 145705959. All the information about MSP CAT owners and directors can be found on the MyCO portal.

MSP CAT is fully owned by its founder & chairman U Khin Maung Win, who also owns Myan Shwe Pyi Ltd and Myan Shwe Pyi Mining Ltd.

MSP CAT’s corporate governance is simple: U Khin Maung Win is the shareholder and chairman of the Board. To ensure the efficiency of its management, MSP CAT has set a two tiers governance system:

  • A Board of directors who is responsible for oversight MSP CAT’s management team,
  • A Management team who is running the company and who is led by MSP CAT CEO.

The Board of Directors is responsible for:

  • Ensuring the compliance of MSP CAT with Myanmar law,
  • Protecting MSP CAT’s financial and operational sustainability,
  • Assessing the reliability and consistency of the financial and non-financial reporting of the Company,
  • Reviewing the efficiency of MSP CAT’s procedures and internal controls,
  • Safeguarding MSP CAT’s reputation by making sure that the Group is conducting its business responsibly and ethically.

The chairman of the Board’s responsibilities are broad, as he has to:

  • Chair the AGM,
  • Safeguard MSP CAT values,
  • Review the implementation of MSP CAT’s strategy by the management team,
  • Steer the company in a direction which will create value for the Company, its shareholder and stakeholders.

In 2018, the Board met 3 times. Each time, 3 topics were discussed:

  • The risks, and the efficiency of MSP CAT ,
  • The financial sustainability of the company, which is its ability to sustain and grow its business. It can cover a wide range of topics, like the remuneration of the key people working for MSP CAT,
  • The operational sustainability which can cover the succession planning of the skills needed to maintain MSP CAT’s capacity to serve its customers and other stakeholders.

Chairman Maung Win (“Khin”) is the Chairman of Myan Shwe Pyi Tractors Limited.
Khin joined Singapore‐based heavy equipment company Soon Douglas in 1991 and served in various positions in their Singapore and Indonesian operations. In 1995, he returned to Myanmar and started heavy equipment company Myanmar Soon Pacific together with a group of international investors. The company was one of the pioneers in working with Myanmar Government to engage private sector in the country’s infrastructure projects such as hydro‐electric and irrigation dams, oil and gas pipelines and highways.
Khin founded a new construction company Myan Shwe Pyi Limited (MSP) in 2005 and expanded the business to become one of the largest aggregate suppliers for infrastructure projects in Myanmar.
In 2011, Khin founded Myan Shwe Pyi Tractors Limited and signed exclusive dealership agreement with Caterpillar for Myanmar. MSP Tractors supports a wide range of industries such as electric power generation, oil and gas, mining, construction, marine and agriculture.
During 23rd World Economic Forum (WEF) on East Asia held in Manila in 2013, WEF honored Myan Shwe Pyi Tractors Limited as one of Global Growth Companies (GGCs). WEF describe GGCs as “fast‐growing companies with the clear potential to become global economic leaders”.
Khin Maung Win attended Medical University in Yangon and left in 1988 when Myanmar suspended all University education. Khin completed Executive Leadership Program “Digging Deep” organized by Caterpillar together with Stanford University. Khin is a Board member of AMCHAM Myanmar and is also the President of Myanmar Cycling Federation.

Director Myat Thu (a) U Pye Aye ,was born on 10th, February 1955, in Ye Pyar Village, Pauk Township, Pakokku District. Upon completing his Basic Education High School, Pakokku, U Myat Thu joined the General Administration Department in July 1973 serving as Clerk-1 position. Thereafter, in March 1974, U Myat Thu joined the Myanmar Army and attended the Apprentice Officer Training Course No.(4). On successful completion of his training in May 1976, he was appointed as Apprentice Officer.
A year later in May 1977 U Myat Thu was appointed gazette officer, Second Lieutenant. U Myat Thu was eventually promoted to Colonel and given the responsibility of Platoon Commander, Company Commander, Military Column Commander, Quartermaster Staff Grade (3), General Staff Officer Grade (2), Commanding Officer, General Staff Officer Grade (1), undertook responsibility as secretary of (Border Area Development Committee, Eastern Shan State) and finally Tactical Commander.
As the commanding officer, he managed and supervised area development such as security, transportation, social development etc., in Tar Lay Township, Tarchileik District. As a military cadet he completed University Intermediate Part (B) Level. Furthermore, successfully completed General Staff College Course No (50) at Kalaw. U Myat Thu was transferred to Ministry of Religious Affairs, Department of Religious Affairs on 1st, August 2007. Appointed Director and later promoted to Deputy Director General up to 31st, July 2011. At that time, attended the English Diploma Course at the Yangon Cooperative College. From 1st, August2011 to current time, U Myat Thu joined Myan Shwe Pyi Tractors Ltd as its director.

The Chief Finance Officer (CFO) is responsible for risk management. For the most critical risks, an action plan will be defined and then implemented by the relevant departments, which will report their progress during the Management meetings.

Currently, MSP CAT is dealing with 4 main types of risks.

  • Stability of the Myanmar Kyat. MSP CAT is importing Caterpillar products and has to pay them in US dollars. Therefore, it is crucial for MSP CAT to be protected against the Myanmar Kyat volatility. The Finance department is responsible for mitigating this risk.
  • Ease of doing business. To deliver on time the products and solutions expected by its customers, MSP CAT has to manage the import process efficiently. MSP CAT is working with a third-party which is responsible which is interacting with all the relevant organisations.
  • Safety of MSP CAT employees. MSP CAT products are used everywhere in the country, and sometimes, in areas where conflicts are taking place. To reduce as much as possible the risks, we are training the people who may be sent to such places. We will also work closely with our customers to secure as much as possible the work of MSP CAT employees and contractors.
  • MSP CAT reputation. As the official dealer of Caterpillar, MSP CAT reputation is a critical asset, that should be safeguarded. Selling a product to an entity who may be potentially under sanctioned would tarnish MSP CAT reputation. To counter this risk, we are using a Risk Management System to clear all our business and to make sure our activities are consistent with MSP CAT’s Code of conduct and with Caterpillar’s guidelines.
